Purpose of this Agreement

This Terms of Use Agreement (hereinafter referred to as the "Agreement") sets forth the terms and conditions for use of the service Flatplan, Inc. (hereinafter referred to as the "Company"), which is provided by sessa (hereinafter referred to as the "Service") provided by Flatplan, Inc. We provide the Service to users of the Service (hereinafter referred to as "Users") based on these Terms of Use. Users who request corrections on the Service (hereinafter referred to as "Requestor") and users who make corrections (hereinafter referred to as "Corrector") must comply with these Terms of Use.

Notification

The Service may send notices to users by posting on the Web site or by email to registered email addresses.

Register and Manage Accounts

Users may register through the Service in accordance with the procedures prescribed by the Company. Users are responsible for managing their own user IDs and passwords used for login.

Handling of Personal Information

Please see PrivacyPolicy for our policy on collection and management of personal information for this service.

Corrector Requirements

Correctors must meet the following requirements.

1. Must be at least 18 years old
2. Must have an account at a bank with its head office in Japan

Clarification of corrections

1. The Requestor must specify all the requirements to be accomplished by the Corrector at the time of the request to avoid any discrepancy of understanding between the Corrector and the Requestor.
2. The Corrector must carefully review the request requirements and must correct the request to meet all of the requirements. If the Requester's requirements are unclear, or even if they are clear, the Requester must not accept the request if he/she believes that the requirements cannot be met.

Business Relations

The exchange of corrections in this service is a direct transaction between the Corrector and the Requestor.

Duty of Confidentiality

The Corrector shall not disclose to any third party any information about the Requestor, the contents of the request, and the results of the Corrector's own corrections (hereinafter collectively referred to as "Correction Information") that the Corrector has learned through corrections, unless the Requestor has given explicit permission to do so. If the Corrector violate this rule and disclose the Correction Information, the Corrector's account will be suspended.

Copyrights

If the result of the correction is considered a new creative work, the copyright in it shall be transferred to the Requestor, and the Corrector shall not exercise any moral rights in the creative work. If the Corrector does not agree to this, he/she shall not accept the request.

Prohibition of Misrepresentation

Correctors must not fraudulently or exaggeratedly advertise their achievements or skills, and must not improperly solicit requests. In case of malicious behavior, the account may be suspended and any unjustified profits may be forfeited or reduced, or other penalties may be imposed.

Prohibition of Transactions Without Substance

If we determine that the transaction is for the purpose of transferring funds in order to prevent money laundering, we will suspend the transaction or refund the request fee to the Requestor after deducting the prescribed fee, and suspend both the Requestor's and the Corrector's accounts.

Commission Fee

1. The commission fee is determined by the client at the time of the request. At that time, funds are secured from a credit card or other means designated by the Requestor, and are settled upon completion of delivery by the Corrector.
2. If the Corrector declines the request, or if the due date for the correction has passed, the secured request fee will not be settled and released.
3. In the event that the Requestor alleges that the corrections deviate significantly from the requested content, and the Service acknowledges such deviation, the Service may impose a penalty such as forfeiture or reduction of the fee to the Corrector, and refund the fee to the Requestor.
4. In the event of withdrawal or account suspension, the right to receive the unclaimed portion of the request fee will be forfeited.
5. The request fee will be transferred to the registered account upon request of the Corrector.
6. The amount received by the Corrector is the amount of the request fee, adjusted for the following taxes and fees
   
   What is reduced
   1. Service fee:
      Less than 10,000 JPY: 15%
      10,000 JPY or more: 10%
   2. Transfer fee: 200 JPY per transfer
   
   What is added
   1. Consumption tax 10%

Prohibited Activity

Users must not engage in any of the following activities. Malicious violators may have their accounts deleted or face legal action.

1. Acts contrary to laws and regulations or public order and morals
2. Acts of using a generative AI for correction
3. Transacting content that constitutes child pornography or child abuse
4. Use of age-restricted content in publicly displayed images and information, such as thumbnail images
5. Acts that overload the service's servers or network
6. Acts of acquiring or analyzing the program of this service
7. Referring to or using data from this service without using the means provided by the Company
8. Acts that interfere with the operation of this service or damage the Company's credibility
9. Collecting personal information of other users
10. Impersonating another person
11. Transferring or lending your account to a third party
12. Providing benefits to antisocial forces
13. Other activities that the Company deems inappropriate.

Suspension of Service

In the event of any of the following events, the Company may suspend all or part of the functions of the Service without prior notice, and shall not be liable for any damages incurred by the user as a result of such suspension.

1. When performing maintenance inspections or updating of the systems that make up this service
2. In the event that provision of this service becomes difficult due to force majeure such as earthquake, lightning, fire, power outage, etc.
3. In the event of an accidental shutdown of the service's server, network, etc.
4. In addition, when we deem it difficult to operate this service.

Change of Service

The Company may change the contents of this service without notice to the user, and shall not be liable for any damages incurred by the user as a result of such changes.

Termination of Service

In the event of termination of this service, a notice to that effect will be posted on the website one month prior to the termination of the service. We will not be liable for any damages incurred by the user as a result of the termination of the service.

Change of Terms of Use

We reserve the right to change these Terms of Use without prior notice to users.

Disclaimer

1. We shall take appropriate measures to resolve disputes between users when we deem it necessary for the smooth operation of this service.
2. We are not responsible for any damage caused by loss of data or malfunction of this service.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of Japan. In the event of any dispute regarding this service, the court having jurisdiction over the location of our head office shall have exclusive jurisdiction.
